1. About Breculia AI

"Breculia AI" is an outbound systems operator based in Chennai, Tamil Nadu, India. We build and manage Clay + Instantly outbound pipeline systems for B2B founders in the United States, enabling automated lead enrichment and personalized email outreach without in-house SDR teams.

"Client," "you," or "your" refers to the B2B founder or business purchasing Breculia AI outbound operator services.

"Services" refers to outbound system setup, Clay table builds, Instantly campaign configuration, lead enrichment, copywriting, and ongoing management described in your Service Agreement and the selected pricing tier.

2. Acceptance of Terms

These Terms form a binding agreement between you and Breculia AI. You accept them when you:

• Book a discovery call via breculia.tech
• Complete payment for a setup or monthly management fee
• Share access to your Clay, Instantly, or other tool accounts
• Submit any onboarding form or ICP brief to Breculia AI

3. Services

3.1 Setup — One Time ($1,500)

• Clay waterfall enrichment table built on Client's own Clay account (Growth plan, ~$495/mo — Client's cost)
• Multi-source enrichment: Apollo.io, Hunter.io, and Prospeo as fallbacks
• Instantly campaign configured on Client's account with domain warmup
• AI-personalized openers written per prospect using company signals (500 initial leads)
• 20-minute Loom walkthrough of the full system delivered to Client
• First campaign live and sending within 48 hours of onboarding

3.2 Managed — Monthly ($1,000/month)

• All items in the Setup package (if setup was purchased separately, these replace ad-hoc requests)
• Weekly lead list refresh: 500 net-new leads per week added to Clay table
• Email copy updates to prevent inbox fatigue
• Deliverability monitoring and domain health management
• A/B testing on subject lines and openers
• Monthly performance report: emails sent, open rate, reply rate, meetings booked
• 30-Day Improvement Guarantee (see Section 8.3)

3.3 Growth — Monthly ($2,500/month)

• Everything in Managed
• Top-500 ABM (Account-Based Marketing) campaign with custom per-account research
• CRM sync: HubSpot or Salesforce integration
• LinkedIn + email combined outbound sequence
• Weekly 30-minute strategy call with the operator

4. Onboarding & Delivery

Services begin only after payment is confirmed via Xflow. After payment, Client must complete within 24 hours:

• Submit onboarding form with ICP definition, deal size, and current outbound stack details
• Grant Breculia AI editor access to Clay account and campaign access to Instantly account
• Confirm target personas, geography, and exclusion criteria

System build and first campaign launch is completed within 48 hours of completed onboarding. Delays in sharing account access or ICP information extend this timeline proportionally. A Loom walkthrough video is delivered upon launch.

5. Payment Terms

5.1 Pricing

Monthly retainers are billed on the same date each month as the original payment. Managed and Growth clients are encouraged to start with the $1,500 Setup first.

5.2 Accepted Payment Methods

All pricing is in USD. The only accepted payment method is:

• Xflow — ACH bank transfer only. No credit card, PayPal, Venmo, or Zelle. Xflow provides US virtual bank account details — you initiate the ACH transfer from your US bank account. Clean, secure, no card fees. Xflow's privacy policy governs payment data: xflow.io/privacy

5.3 Late Payments

• Day 3 past due: Reminder email sent with re-issued Xflow payment details
• Day 10 past due: Weekly management work paused without further notice
• Day 21 past due: Account suspended. Clay and Instantly access revoked by operator.
• Service restored within 24 hours of confirmed Xflow ACH payment receipt
• Accounts 30+ days past due may be permanently terminated with no deliverables obligation

5.4 Taxes

All fees are in USD and exclude applicable taxes. Services rendered from India to US clients are classified as export of services under Indian GST law (zero-rated). Client is responsible for any sales tax, VAT, or other taxes applicable in their jurisdiction.

6. Cancellation & Termination

6.1 Cancellation by Client

• Written notice required to founder@breculia.tech
• Notice must be received at least 7 days before next billing date
• Management work continues through end of current paid period
• No refunds for partial months
• Setup fee ($1,500) is non-refundable after build work has begun

6.2 Termination by Breculia AI

Breculia AI may terminate with 14 days notice for any reason, or immediately if:

• Payment is 30+ days overdue
• Client violates these Terms or applicable law
• Client uses the system for spam, illegal outreach, or harassment
• Client account access cannot be maintained due to platform policy violations initiated by Client

6.3 After Cancellation

• Operator access to Client's Clay and Instantly accounts is revoked within 24 hours
• All Clay tables, Instantly campaigns, and automation workflows built by Breculia AI remain in Client's account and are owned by Client
• Breculia AI retains no ongoing access to Client data after cancellation

7. Client Responsibilities

• Maintain active Clay Growth plan (~$495/mo) and Instantly plan (~$97/mo) — these are Client's direct costs
• Provide accurate ICP definition during onboarding; update within 48 hours of any significant changes
• Comply with all applicable email laws including CAN-SPAM, CASL, and GDPR for contacts in relevant jurisdictions
• Ensure outreach targets are B2B contacts (not individual consumers)
• Not use the system to send spam, unsolicited mass messages, or illegal communications
• Respond to Breculia AI communications within 48 hours during active projects
• Monitor reply inbox and respond to interested prospects — Breculia AI books meetings but does not run sales calls

8. Refund Policy

8.1 Setup Fee ($1,500)

The setup fee is fully refundable only if Client cancels before any build work begins — meaning before Clay table construction starts and before Instantly campaign is configured. Once any work begins, the setup fee is non-refundable, as real operator time and enrichment credits have been spent on your behalf.

8.2 Monthly Retainer

Monthly retainers (Managed and Growth) are non-refundable for the current billing period. Cancellation stops future billing but does not entitle Client to a refund of the current month's fee. The exception is the 30-Day Improvement Guarantee below.

8.3 30-Day Improvement Guarantee (Managed plan only)

If the outbound system delivers fewer than 5 positive replies within the first 30 days of live campaign, Client may request Month 2 at no charge. To qualify:

• Written request to founder@breculia.tech within 30 days of campaign go-live with subject: Improvement Guarantee — [Business Name]
• Client must have maintained active Clay and Instantly accounts throughout the period
• The low reply count must not be due to Client changes to ICP, pause of campaigns, or domain configuration errors on Client's side
• Breculia AI will verify campaign stats (Instantly dashboard) within 3 business days
• If approved, Month 2 management fee is waived

9. Intellectual Property

All Clay table structures, enrichment waterfall logic, Instantly campaign frameworks, AI prompt templates, and outbound systems methodology created by Breculia AI are proprietary. However, the specific instance built for your ICP (the Clay table, lead list, and Instantly campaign running in your accounts) is owned by you once built.

Client may not resell, sublicense, or share the Breculia AI methodology or system templates with third parties.

10. Limitation of Liability

Services are provided on a best-effort basis. Breculia AI does not guarantee specific meeting volumes, pipeline values, or revenue outcomes. Outbound performance depends on ICP quality, market timing, and external platform factors outside Breculia AI's control.

Breculia AI is not liable for outages or changes on third-party platforms (Clay, Instantly, Apollo, Hunter, Prospeo, Smartlead, Xflow).

Maximum liability for any claim is limited to the total fees paid to Breculia AI in the 3 months preceding the claim. Breculia AI is not liable for lost revenue, lost pipeline, or consequential damages under any circumstances.

11. Data & Privacy

Breculia AI accesses Client's Clay and Instantly accounts solely to build and operate the outbound system. No Client data or prospect data is stored on Breculia AI servers beyond operational records (invoices, onboarding notes). All prospect data lives in Client's own Clay and Instantly accounts.

12. Governing Law & Disputes

This agreement is governed by the laws of India (Breculia AI operates from Chennai, Tamil Nadu). For US-based clients, both parties agree to resolve disputes first through good-faith negotiation (30 days), then binding arbitration — conducted virtually. Neither party may pursue class action claims.

13. Force Majeure

Neither party is liable for failure to perform due to circumstances beyond their control, including platform shutdowns (Clay, Instantly, Apollo), government restrictions, or internet outages. If a force majeure event prevents service for 30+ consecutive days, either party may terminate and Client receives a prorated refund for unused management days.

14. Modifications

Breculia AI may update these Terms with 30 days written notice. Continued use after the notice period constitutes acceptance. Price increases for existing monthly clients are capped at 20% per year.
